Terms of Service

1. Acceptance of Terms

By accessing or using the Vyapar360 platform ("Service") at https://vyapar360.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (the "User" or "Business Owner") and Vyapar360. You represent that you are at least 18 years old and legally authorized to operate the business for which you are using the Service.

2. Description of Service

Vyapar360 provides a multi-module business management platform including:

  • GST-compliant billing and invoice generation
  • Customer Relationship Management (CRM) with lead and contact tracking
  • WhatsApp Business messaging via Meta Cloud API
  • Inventory management
  • Staff attendance, salary, and leave management
  • Appointment scheduling
  • AI-powered marketing copy and campaign management
  • Business analytics and reporting

3. Account Registration

  • You must register using a valid Indian mobile number. Registration is completed via OTP verification.
  • Each mobile number can be associated with one business account (tenant).
  • You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.
  • You agree to provide accurate and complete business information and to update it as necessary.
  • You must notify us immediately of any unauthorized use of your account at support@vyapar360.com.

4. Subscription Plans and Billing

4.1 Free Trial

New accounts receive a 7-day free trial with access to all platform features subject to usage limits. No payment is required during the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

4.2 Paid Plans

Paid plans are billed monthly via Razorpay. Pricing is displayed on the upgrade page and may be updated with 30 days' notice. All prices are in Indian Rupees (INR) and inclusive of applicable taxes.

4.3 Refunds

We offer a 7-day refund policy from the date of subscription activation. Refund requests made after 7 days will not be processed. To request a refund, contact support@vyapar360.com.

4.4 Plan Limits

Each plan includes defined usage limits (e.g., number of invoices, WhatsApp messages, AI requests per month). Exceeding these limits will result in temporary restriction of that feature until the next billing cycle or plan upgrade.

5. Acceptable Use

You agree NOT to use Vyapar360 to:

  • Send spam, unsolicited bulk messages, or harassing communications via WhatsApp or any other channel.
  • Violate Meta's WhatsApp Business Policy or any applicable messaging regulations.
  • Send fraudulent, misleading, or deceptive content to customers.
  • Store or transmit illegal content, malware, or any content that violates third-party rights.
  • Attempt to reverse-engineer, hack, or compromise the platform or its underlying infrastructure.
  • Resell or sublicense access to the platform to third parties without written authorization.
  • Create invoices or records for fraudulent or fictitious transactions.
  • Violate any applicable law in India or any other jurisdiction.

Violation of this section may result in immediate account suspension or termination without refund.

6. WhatsApp Integration

By connecting your WhatsApp Business account to Vyapar360, you agree to:

  • Comply with Meta's WhatsApp Business Policy and Meta Platform Terms.
  • Only send messages to contacts who have opted in to receive communications from your business.
  • Take full responsibility for all messages sent through your connected WhatsApp Business account.
  • Not misuse the messaging capability to send spam, scams, or policy-violating content.

Vyapar360 is a technology platform enabling WhatsApp messaging. We are not responsible for the content of messages you send or for any action taken by Meta against your WhatsApp Business account due to policy violations.

7. Intellectual Property

  • The Vyapar360 platform, including its design, code, and features, is owned by Vyapar360 and protected by applicable intellectual property laws.
  • You retain ownership of all business data, invoices, contacts, and content you create on the platform.
  • By using the Service, you grant Vyapar360 a limited license to process and store your data solely to provide the Service.
  • You may not copy, modify, or distribute any part of the platform without prior written consent.

8. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of data as described in the Privacy Policy.

9. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranties of any kind. Vyapar360 does not warrant that the Service will be error-free, uninterrupted, or meet your specific business requirements.

To the maximum extent permitted by Indian law, Vyapar360's liability for any claim arising from your use of the Service shall not exceed the amount you paid to Vyapar360 in the 3 months preceding the claim. Vyapar360 shall not be liable for indirect, incidental, consequential, or punitive damages.

Vyapar360 is not liable for any GST errors, filing issues, or financial loss arising from your use of the billing and invoicing features. You are responsible for verifying the accuracy of all tax records and for compliance with GST regulations.

10. Termination

  • You may cancel your subscription at any time from the billing settings.
  • We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with 7 days' notice.
  • Upon termination, your access to the platform will cease. We will retain your data for 90 days after termination, after which it will be permanently deleted (except invoice records retained for tax compliance).
  • You may request an export of your data before or within 30 days of termination.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

We encourage you to contact us first at support@vyapar360.com to resolve any disputes informally before pursuing legal action.

12. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
